Vendor Agreement

These terms are pending review by a Nigerian legal practitioner and may change before launch.

This agreement sets out the terms under which vendors sell through Vasrel.

Who this covers

This agreement applies to everyone who supplies through Vasrel. There are three kinds of supplier, and where a clause applies to only one, it says so.

Chefs prepare food to order. Self-managed vendors build and run their own listings in the app. Assisted vendors are supplied to customers through listings that Vasrel builds and maintains on their behalf, with orders placed by call or text.

What Vasrel does

Vasrel is an intermediary. You are the seller of your goods. We list them, take payment, arrange delivery and take a commission.

If you are an assisted vendor, we build your listing and set the displayed price for you, at prices you have agreed to. If a price appears that you did not agree to, tell us and we will correct it. You can take over management of your own listings at any time.

Commission

Commission is 15% of the food cost by default. It is lower on some goods, and it can be negotiated on individual products. The rate that applies to each of your listings is shown to you before it goes live.

  • Commission is calculated on food cost only
  • Delivery fees are charged separately and are not part of it
  • It is deducted before your payout is released
  • It is exclusive of VAT, which is added where applicable

Pricing

Your Vasrel price must match your shelf price. We add our commission on top of it. Listing above your shelf price is fraud on the customer and will get you suspended or banned.

You can change your prices, but a change only applies to orders placed after it takes effect in the app. Any order already placed must be fulfilled at the price the customer paid, in full, whatever you have since changed the listing to. If you can't, that is a cancellation and it is treated as one.

Vasrel is built on repeat custom across many buyers, not on extracting as much as possible from one. Raising prices to squeeze a single customer works against that, and vendors who do it will be suspended.

Payments and payouts

We hold the customer's payment until delivery is confirmed. Payouts go to the account verified on your profile.

Funds are held for a period after confirmed delivery before they become available to you. The current holding period for your account type is shown in the app, and it may change.

Refunds and deductions

Where a refund is owed to a customer because of something you did, we deduct it from your payout.

Not every refund is yours. Where an order is never delivered, Vasrel bears it. Where the customer cannot be reached at the address, the phone is off, or the address given was wrong, the customer bears it. Frozen or chilled items that arrive softened may attract a partial refund, which is not deducted from you where the pickup record shows the items left you in good condition.

  • Every deduction appears on your ledger with the order and the reason
  • You have 7 days from notification to contest it
  • The deduction applies immediately while it is being reviewed
  • If your appeal succeeds, the amount is credited back on your next payout
  • Where a deduction is large relative to what you are owed, we may take part of it now and carry the rest to later payouts

Chargebacks

If a customer disputes a payment with their bank after you have been paid, Vasrel absorbs it. Where the dispute arose because you acted fraudulently, you will be fined, suspended, or removed.

Staying on the platform

A customer you meet through Vasrel stays on Vasrel. Do not give customers your phone number, address, social handles or payment details. Do not take payment outside Vasrel for anything that started on Vasrel. All chat, orders and payments run through the platform.

A first deliberate breach may be met with a warning. Beyond that, each deliberate breach carries a penalty of between ₦5,000 and ₦10,000, set off against your payouts, and repeated breaches lead to a ban.

Pickups and packing

Items you pack to order must be packed in the presence of the dispatch agent, not before they arrive. Goods that come in sealed manufacturer packaging stay sealed and are inspected rather than repacked.

Dispatch agents are required to record pickups, with sound. This is how disputes about condition, quantity and packing get settled, and by supplying through Vasrel you consent to being recorded at pickup. You can request the recording for any order you are in dispute over.

What you see about customers

You receive the contents of the order and nothing else. Customer names, phone numbers and addresses are not shared with you. Delivery is handled by Vasrel.

Verification and compliance

You must complete verification before you can accept orders, and keep your premises, certifications and profile details accurate and current.

You consent to unannounced inspection and to quality checks carried out without notice.

Insurance and liability

Vasrel maintains public liability insurance on terms we consider appropriate from time to time. This is our cover, not yours, and we give you no assurance about its scope. If a claim is made, you must cooperate with it: give us your records, allow inspection, and do not admit liability to a customer on our behalf.

Vasrel is not liable to you for anything outside our control, including traffic, road conditions, network or power failure, bank or payment processor downtime, or the acts of customers. We do not guarantee you any volume of orders, and we are not liable for income you expected but did not receive.

Where we are liable to you for anything at all, our liability is limited to the commission we earned on the order in question.

You are responsible for the safety, quality, weight and condition of everything you supply. If a customer suffers loss because you deviated from the standards you were verified against, that is yours, and you will reimburse us for what it costs us.

Your status

You are an independent contractor. This agreement does not make you an employee, partner or agent of Vasrel, and nothing in it entitles you to employment benefits.

There is no exclusivity. You are free to sell wherever else you want.

Suspension and removal

We may suspend or remove you for the breaches set out above, or for failing verification or compliance.

Being removed does not cost you money you have already earned. Payouts owed to you are released as normal, unless the removal involved fraud.

Changes

We may change this agreement. We will tell you before a change takes effect, and continuing to supply through Vasrel after that means you accept it.

Governing law

This agreement is governed by Nigerian law, and the courts of Lagos State have jurisdiction over any dispute arising from it.
